WOSB document checklist for LLCs

WOSB required documents: what an LLC should prepare before applying

If your business is an LLC, your WOSB application depends heavily on the governing documents that show who owns and controls the company. Use this checklist to organize the documents SBA commonly asks LLC applicants to provide.

CertPreflight is an independent preparation tool. It does not determine eligibility, provide legal advice, submit applications, or guarantee certification.

Before you upload

Check that the documents tell the same ownership and control story

Having the files is only part of the job. SBA's program requirements focus on ownership and control, and governing documents can contain provisions that affect both. Before submission, compare the documents for inconsistencies and missing execution details.

  • The legal business name is consistent across the Articles and Operating Agreement.
  • Ownership percentages and member names are consistent across documents.
  • The qualifying woman owner has the management and decision-making authority described in your application.
  • Required signatures and dates are present on governing documents.
  • Amendments are included when they change ownership, management, voting, or other governing terms.
  • Any applicable DBA or joint venture documentation is included.

Common document problems

Missing files are not the only reason a document package can need review

Missing filed or amended documents

A current package should include applicable amendments, not just the original governing document.

Unsigned or undated governing documents

SBA training materials identify improperly executed governing documents as a common reason applications require additional information.

Ownership or control inconsistencies

Names, percentages, voting rights, management authority, and approval requirements should not conflict across the documents you submit.

WOSB document FAQ

Frequently asked questions

What documents does an LLC commonly need for a WOSB application?

SBA's WOSB checklist lists Articles of Organization and amendments, the Operating Agreement and amendments, a joint venture agreement if applicable, and assumed or fictitious-name documentation if applicable for LLC applicants. Other supporting documents may also be required based on the firm's ownership and circumstances.

Do amendments need to be included?

Yes when applicable. SBA's checklist specifically references amendments to the Articles of Organization and Operating Agreement. Current governing documents should reflect the ownership and control structure you are relying on in the application.

Why does the Operating Agreement matter for WOSB review?

WOSB eligibility depends on both ownership and control. An Operating Agreement can contain ownership percentages, voting rights, management authority, approval requirements, and other provisions that affect who controls the LLC.

Does CertPreflight determine whether my business is eligible for WOSB certification?

No. CertPreflight checks documents for issues that may deserve review before submission. It does not determine eligibility, provide legal advice, submit an application, or guarantee certification.
