WOSB Control Rights Checklist

Walk through the governance questions that often deserve review in an LLC Operating Agreement before WOSB submission.

Educational preparation tool only. Results are not an SBA eligibility determination or legal advice.

1. Can the qualifying woman approve ordinary operating decisions without another owner’s broad veto?
2. Can she make long-term strategic decisions under the current voting thresholds?
3. Do the governing documents identify her management authority consistently?
4. Can she control hiring, firing, compensation, or key personnel decisions?
5. Can she bind the company or direct those who have signing authority?
6. Are supermajority or unanimous-consent rights limited rather than covering routine operations?
7. Do amendments and side agreements preserve the same control picture?
8. Do the application answers match the current Operating Agreement and amendments?
